About the role
ABOUT RAMP
Ramp is building the smart infrastructure for finance teams, embedded in the transaction flow of every dollar a business spends. We automate how over $200B in annualized spend flows in and out of 70,000+ companies: authorizing payments, flagging risk, categorizing spend, and closing books.
The problems are high-stakes, data-dense, and unforgiving.
We hire people with high agency and high urgency. We look for slope over intercept. We care less about where you trained and more about what you’ve built. At Ramp, everyone is a builder who owns problems end to end and makes consequential decisions that shape the outcome.
The median Ramp customer saves 5% and grows revenue 16% in their first year – far in excess of businesses operating without Ramp. We believe every ambitious company deserves the same.
If you want to build systems that directly shape how companies move and manage billions, Ramp is the place to do it.
ABOUT THE ROLE
We're looking for a Senior Corporate Paralegal to join Ramp's Legal team and own the operational backbone of how we govern and structure the company. Ramp runs a growing portfolio of U.S. and non-U.S. entities — including regulated and licensed subsidiaries — across a business that ships constantly and raises, acquires, and expands on short notice. You will be the person who keeps that machinery accurate, current, and audit-ready.
This is a broad generalist role. You'll sit at the center of corporate governance, entity management, equity administration, and litigation/employment and you'll partner directly with Finance, Accounting, Tax, Treasury, Compliance, Equity Admin, and People, and outside counsel. We are a small, high-leverage team supporting a company that moves quickly, so you'll cover a lot of ground and be trusted to run matters independently.
WHAT YOU'LL DO
- Corporate governance: Prepare board and stockholder meeting materials, agendas, minutes, written consents, resolutions, secretary's certificates, and incumbency certificates. Track and calendar governance obligations across the entity portfolio.
- Entity management: Own the full lifecycle of entity administration — formations and dissolutions, foreign qualifications, annual reports, franchise tax filings, registered agent management, signatories, officer and director lists, post-integration cleanup.
- KYC, UBO, and diligence: Respond to KYC/UBO and diligence requests from bank partners, regulators, auditors, insurers, and counterparties, and build reusable packages.
- Equity support: Support equity administration, option and RSU grants, board approvals of equity awards, secondaries, and equity plan recordkeeping in partnership with Finance and People.
- Transaction support: Run diligence support, signature collection, closing checklists, closing binders, and post-closing obligations for financings, credit facilities, M&A, real estate, and insurance renewals.
- Commercial and cross-functional support: Assist with powers of attorney, delegations of authority, and corporate approvals needed by the business.
- Employment support: Support employment- and immigration-related requests and filings.
- Litigation support: Support subpoena and law enforcement requests, legal holds, e-discovery, and document production. Review and respond to garnishment orders and UCC liens. Serve as Ramp’s custodian of records and as Ramp’s representative in small claims court cases.
WHAT YOU NEED
- 6+ years of corporate paralegal experience at a major law firm and/or in-house at a high-growth technology or financial services company.
- Deep working knowledge of corporate governance, entity formation and maintenance, corporate recordkeeping, and secretary's office functions.
- Excellent drafting skills across resolutions, consents, certificates, and corporate documentation, with genuine precision — you catch the wrong entity name, the stale date, and the missing signature block.
- Demonstrated ability to independently run multiple time-sensitive workstreams without dropping threads or waiting to be asked.
- Strong written and verbal communication skills and the judgment to work directly with executives, board members, outside counsel, and cross-functional partners.
- Comfort operating in a fast-paced environment where priorities shift and processes are still being built — and a bias toward action.
- High judgment around confidential and sensitive corporate information.
- Bachelor's degree or equivalent practical experience.
NICE TO HAVE
- Experience at a fintech, payments, or regulated financial services company, including support for licensed entities (money transmitter, EMI, or similar).
- Experience supporting venture financings, secondaries, M&A integration, or IPO readiness.
- International entity management experience across EMEA, APAC, LATAM, or Canada.
- Experience with equity administration and cap table platforms (e.g., Shareworks).
- Experiencing with litigation or employment matters.
- Notary Public commission (NY or CA), or willingness to obtain one.
- ABA-approved paralegal certificate.
- A track record of using AI or automation to eliminate manual legal work.
